Terms and Conditions
1. Introduction
LisBon Platforms Ltd aims to provide a wide range of services, including our transportation and wealth creation platform, available through the LisBon app and related websites (“Platform”). By using LisBon, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please discontinue your use of our services.
2. Company Overview
LisBon Platforms Ltd is a technology Company revolutionizing transport, logistics, e-commerce and wealth creation for every user of the platform all over the world. It is multi-faceted in its operations, driven by the quest to unify and make simple all transactions thus transforming the traditional transport and market system in Africa and unifies and grants the local customers easy access to international markets through the use of LisBon Platforms, while giving the Client using LisBon Transportation services a flight-like fee, comfort and enjoyment.
LisBon Platforms Ltd. (“LisBon”) is a secure and user-friendly transport sharing and wealth creation app. We provide affordable, safe, and comfortable travel options, designed to meet the diverse needs of our community. LisBon empowers users and drivers with earning potential and offers transportation solutions focused on verified, trusted experiences.
3. Services Offered
LisBon Platforms Ltd is much more than just transportation and commerce but ahead of our November 18th beta launch, LisBonPlatforms Ltd shall introduce two core transport services namely:
a. Fixed Route Transport Sharing:
This service operates similarly to a flight booking system. Verified drivers offer routes with set times and days, allowing users to book or subscribe to a vehicle for regular routes (e.g., work, school, or market commutes). This service prioritizes affordability, predictability, and safety.
b. Exclusive Transportation (Drop):
The Company provides a direct and private transport option for users who prioritize comfort and privacy. This service offers various vehicle classes, including Basic, Economy, Business, and First Class, to suit user needs and budgets.
3.1The Company reserves the exclusive right to change the routes or schedule where necessary without recourse to the Clients, provided it is sincerely intended for greater and efficient service to the Client/Users.
3.2 The Company reserves the right to limit the Vehicle capacity without recourse to the Users and same shall be communicated to the verified drivers within a reasonable time.
4. Account Verification and Security
To foster a secure and reliable community, all users and drivers undergo a flexible yet thorough verification process. This includes background checks to ensure safety and trust for everyone. Users are responsible for maintaining the confidentiality of their account information and agree to notify the Company immediately of any unauthorized use.
5. Support Safety and Emergency
The Company is committed to ensuring the safety and security of its Clients/Users on every trip. Our services include:
a. Real-Time Trip Monitoring: Share your trip details with family and friends for peace of mind.
b. Emergency Assistance: In-app emergency support for immediate help if needed.
c. Clients/users are prohibited from carrying prohibited items/ substances, item and/or whatever the laws of the Federal Republic of Nigeria declare to be a contra bound substance, while on the Platform.
d. Where the vehicle suddenly develops a mechanical fault enroute, the Client may inform the Company as soon as he/she practicably can.
e. Upon being contacted, the Company shall direct the nearest vehicle to go complete the trip with no additional cost from the Client/user.
Note: By using LisBon, you admit the importance of our safety measures and agree to comply with our safety standards during all interactions on the Platform.
6. LisBon Connection–Wealth Creation Opportunities
With LisBon Connection, we offer users and drivers the chance to earn a lifetime income by inviting others to the Platform; by referring new users, you qualify for ongoing earnings whenever they use the Company’s services.
a. Earning Tiers:
Users begin at Level 1, earning rewards with each ride. By actively using the app and inviting new members, users can reach Level 2, thereby unlocking the enhanced earning potential on rides and referrals.
7. Pricing and Payments
a. Transparent Pricing:
The Company offers predictable transparent pricing for both daily commutes and long-distance travels, without a surge in the price.
b. Payment Methods:
Users can choose from multiple payment methods. By confirming a booking, users authorize the Company to charge the selected payment method for the cost of the ride.
c. Driver Commission:
The Company maintains a competitive commission rate of 5%, ensuring higher earnings for drivers while keeping rides affordable.
8. Cancellation Policy
Users and drivers may cancel a booking within the specified time as indicated in the app. Please note that cancellation fees may apply based on the timing and nature of the cancellation.
9. Refund Policy:
Refunds are processed in accordance with the Company’s refund guidelines. In case of any disputes or issues, please refer to the Company’s refund policy.
10. User Conduct
The Company is a community built on respect and safety. All users agree to:
a. Respect other users and drivers.
b. Abide by the Company’s safety policies and instructions.
c. Use the Platform responsibly and avoid any disruptive or illegal activities.
11. The Company reserves the right to suspend and/or terminate accounts found to be in violation of the above standards. Further, where an account is suspended and/or terminated for breach of any of the above listed user conducts, the Company shall not be under any obligation to refund monies paid (if any), by such a Client.
12. Intellectual Property Rights
All contents, features, and functionalities on the LisBon Platform are exclusive properties of LisBon Platforms Ltd. Users shall not, modify, or distribute intellectual properties belonging to the Company without a written clearance from the Chief Executive Officer of the Company.
13.Idemnification: Users agree to indemnify, defend, and hold harmless LisBon and its affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with:
•User Conduct: Actions or omissions by the user in connection with their use of LisBon’s platform.
•Breach of Agreement: Any violation of this Agreement by the user.
•Third-Party Claims: Claims brought by third parties resulting from the user’s actions or interactions on LisBon’s platform.
Indemnification for Legal Actions
11.1 User Responsibility for Legal Fees: Users agree to indemnify and hold harmless LisBon, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees and costs, arising out of or in any way connected with:
•User Conduct: Actions or omissions by the user in connection with their use of LisBon’s platform.
13. Disclaimer of Warranties
a. LisBon provides its platform and services on an “as is” and “as available” basis. LisBon disclaims all representations and warranties, express or implied, including but not limited to:
b. We do not warrant, expressly or impliedly that the usage of LisBonPlatform Ltd will meet your expectations or requirements.
c. We do not warrant, expressly or impliedly that the usage of LisBonPlatform Ltd will be suitable for any specific or particular purpose.
d. We do not warrant, expressly or impliedly that the usage of LisBonPlatform Ltd do not infringe on any third-party rights.
e. Merchantability: Any implied warranties of merchantability.
f. Fitness for a Particular Purpose: Any implied warranties of fitness for a particular purpose.
g. LisBon does not warrant that:
h. Uninterrupted Service: The platform will operate uninterrupted or error-free.
i. Security: The platform will be secure or free from viruses or other harmful components.
j. Accuracy: we do not warrant, expressly or implied that the information provided on the platform is accurate, complete, or up to date.
14. Limitation of Liability
No Liability for Platform Use: LisBon, including its affiliates, officers, directors, employees, agents, and licensors, shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
•Personal Injury or Death: Any injury or loss of life resulting from the use of LisBon’s platform or services.
•Property Damage: Damage to personal or real property arising from interactions facilitated through LisBon.
•Financial Losses: Loss of money, investments, savings, or any financial detriment incurred through the use of LisBon’s platform, including but not limited to:
•Investment Failures: Losses resulting from investments made via opportunities presented on LisBon.
•Account Issues: Financial losses due to account suspensions, terminations, or unauthorized access.
•Technical Problems: Losses arising from hacking incidents, data breaches, or other technical malfunctions.
•Emotional Distress: Psychological or emotional harm resulting from experiences related to LisBon’s platform.
The Company is committed to maintaining a safe, secure and reliable
Platform worldwide but shall not be held liable for:
. Damages resulting from user interactions or conduct.
. Delays, interruptions, or failures in service due to external factors beyond the control of the Company.
. The Company shall not be liable for any direct, indirect, incidental, special and/or consequential damages, arising from the use or inability to use the Platform/services.
.The Company shall not be liable in damages for loss of business, profits and/or revenue, arising from the use or inability to use the Platform/services.
.The Company shall not be liable in damages for cost of procurement of substitute goods or services, arising from the use or inability to use the Platform/services.
15. Assumption of Risk
By using this platform, you assume and acknowledge that you understand and assume all risks associated with its usage.
User Eligibility and Acknowledgment
a.Legal Age Requirement: By accessing or using LisBon’splatform, users affirm that they are at least 18 years of age, which is the legal age of majority in Nigeria.
b. Voluntary Participation: Users acknowledge that their use of LisBon’s platform is voluntary and undertaken at their own risk.
c. Compliance with Laws: Users agree to comply with all applicable local, state, national, and international laws and regulations in connection with their use of LisBon’s platform.
d. Account Information: Users agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to maintain its accuracy.
e. Account Security: Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
f. Prohibited Activities: Users agree not to engage in any of the following prohibited activities:
•Unauthorized Access: Accessing or using the platform in an unauthorized manner.
•Interference: Interfering with or disrupting the integrity or performance of the platform.
•Illegal Activities: Engaging in any illegal or unlawful activities through the platform.
Termination of Access: LisBon reserves the right to suspend or terminate a user’s access to the platform at its sole discretion, without notice, for conduct that LisBon believes violates this Agreement or is harmful to LisBon’s interests.
Immediate Loss of Access: Upon suspension of a user’s account, all access to their LisBon connections is immediately revoked. The user forfeits any rights to these connections, and reinstatement is not guaranteed.
Discretionary Warnings: LisBon may, at its sole discretion, issue one or more warnings prior to suspension. However, LisBon reserves the right to suspend an account without prior notice, based on the severity or nature of the violation.
Irrevocability of Suspension: Once an account is suspended, the user cannot reclaim their previous connections. The suspension and associated loss of connections are final and non-negotiable.
16. Modification of Terms
The Company reserves the exclusive right to update and/or modify the Terms herein contained to reflect changes in our services, policies, for legal and/or regulatory reasons, without recourse to the Clients/users. The Users of the platform will be notified of significant updates on the platform, and their continued usage of the Platform shall constitute acceptance of the Terms modified.
Modify or Restrict Access: Alter, limit, or restrict access to any General User Account without prior notice or liability.•Withdraw, Disable, Suspend, Cancel, or Delete: At any time and for any reason, including but not limited to violation of this Agreement, fraudulent activities, or any conduct deemed detrimental to LisBon’sinterests.
17. Dispute Resolution
Where there is a dispute between the Company and the Client/user, the dispute shall be referred to Arbitration without recourse to the Courts. Each party shall appoint its private Arbitrator in accordance with the Arbitration and Mediation Act of 2023.
19. General User Accounts Definition: A General User Account encompasses any LisBon account created or utilized by individuals, entities, or affiliates for accessing LisBon’s services, including but not limited to riders, drivers, partners, and any other users engaging with LisBon’s platform. a. Account Control: LisBon maintains absolute discretion over General User Accounts and reserves the right to:
b. Account Ownership and Transfer
c. Non-Transferability: Users are strictly prohibited from transferring, assigning, or selling their LisBon accounts or any associated connections to any third party without obtaining explicit, prior written consent from LisBon. Any unauthorized transfer or assignment shall be deemed null and void.
d. LisBon’s Rights Regarding Transfers: In the event that LisBon consents to the transfer or sale of a user account or its connections, LisBon reserves the following rights:
e. Transaction Fee: LisBon may impose a transaction fee, the amount of which shall be determined at LisBon’s sole discretion, as a condition for approving the transfer or sale.
f. Percentage of Sale Proceeds: LisBon is entitled to receive a percentage of the total sale proceeds from the transfer or sale of the account or connections, with the specific percentage to be determined by LisBon.
g. Additional Conditions: LisBon may stipulate additional terms and conditions that must be met prior to approving any transfer or sale.
h. User Obligations: Users acknowledge and agree to:
•Seek Approval: Obtain LisBon’s explicit written consent before attempting to transfer, assign, or sell their account or any connections.
•Comply with Terms: Adhere to all terms and conditions set forth by LisBon concerning any approved transfer or sale.
•Provide Accurate Information: Furnish truthful and complete information to LisBon regarding any proposed transfer or sale.
User Consent and Rights: By accessing and using LisBon’splatform, users:
•Consent to Data Practices: Explicitly consent to the data collection, monitoring, and usage practices described herein.
•Opt-Out Options: May have the option to opt-out of certain data collection or usage practices, subject to the functionalities provided within the platform or as required by applicable law.
•Data Access and Correction: Have the right to access and request correction of their personal data held by LisBon, in accordance with applicable data protection laws.
Data Security: LisBon implements reasonable security measures to protect user data from unauthorized access, disclosure, or alteration. However, users acknowledge that no security system is impenetrable, and LisBon cannot guarantee the absolute security of user data.
Consequences of Unauthorized Transfers: Any attempt to transfer, assign, or sell a LisBon account or its connections without LisBon’s prior written consent may result in:
•Immediate Termination: Suspension or termination of the user’s account without notice.
•Forfeiture of Benefits: Loss of any accrued benefits, credits, or rewards associated with the account.
•Legal Action: Initiation of legal proceedings against the user for breach of this Agreement.
•Reclaim Connections and Privileges: Assume control over or reclaim all connections, benefits, privileges, data, and content associated with General User Accounts upon termination or suspension, regardless of the reason. •Monitor and Audit: Continuously monitor, audit, and record activities within General User Accounts to ensure compliance with LisBon’s policies and this Agreement. •Enforce Compliance: Implement any measures necessary to enforce compliance with LisBon’s policies, including but not limited to legal action, financial penalties, or reporting to relevant authorities. 20. Data and Content Ownership: All data, content, communications, and materials created, stored, or transmitted through General User Accounts are the exclusive property of LisBon. Users have no ownership rights over such data and must return or delete all proprietary information upon LisBon’s request or upon termination of their relationship with LisBon. 21. Confidentiality: Users must maintain the confidentiality of all information accessed through General User Accounts. Unauthorized disclosure, reproduction, or use of LisBon’s proprietary information is strictly prohibited and may result in legal action. 22. No Expectation of Privacy: Users acknowledge that they have no expectation of privacy regarding any activity conducted through General User Accounts. LisBon may access, monitor, and disclose any information as required to ensure compliance with this Agreement or applicable laws. 23. Termination of Relationship: Upon termination of the user’s relationship with LisBon, for any reason, LisBon may immediately:•Deactivate Access: Revoke all access to General User Accounts and related services.•Retrieve Assets: Retrieve or demand the return of any LisBon assets, including devices, documents, or proprietary materials.•Enforce Post-Termination Obligations: Ensure compliance with any post-termination obligations, including non-compete clauses, confidentiality agreements, or return of property. 24. Non-Compete and Non-Solicitation Obligations:•Non-Competition: During the term of this Agreement and for a period of five (5) years following its termination, the user shall not, directly or indirectly, engage in any business or activity that competes with LisBon’s operations within Nigeria or internationally. This includes, but is not limited to, providing services similar to those offered by LisBon or working with any entity that competes with LisBon, or disclosing LisBon’ssecrets or strategies to any entity.•Non-Solicitation: The user shall not, during the term of this Agreement and for five (5) years thereafter, solicit or attempt to solicit any of LisBon’s employees, contractors, partners, collaborators, or clients for the purpose of engaging in a business that competes with LisBon.•Non-Disparagement: The user agrees not to make any statements, written or oral, that could disparage or harm the reputation of LisBon, its services, or its stakeholders. Any breach of this non-disparagement obligation shall result in the immediate forfeiture of any outstanding payments, incentives, or benefits owed to the user by LisBon. Additionally, LisBon reserves the right to pursue legal action to recover damages resulting from such a breach. These restrictions are considered reasonable and necessary to protect LisBon’s legitimate business interests. The user acknowledges that any breach of these obligations may result in legal action and agrees to indemnify LisBon for any damages arising from such a breach. 25. Acknowledgment of Authority: By utilizing a General User Account, users acknowledge and agree to LisBon’s overarching authority and discretion over the account and its contents, as outlined in this Agreement. 26. Amendments: LisBon reserves the right to amend, modify, or update these terms at any time without prior notice. Continued use of General User Accounts constitutes acceptance of any such changes. 27. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. 28. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 29. Waiver: Failure by LisBon to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. 30. Entire Agreement: This section constitutes the entire agreement regarding General User Accounts and supersedes all prior understandings or agreements, whether written or oral.
31. Acceptance: By using the Company’s Platform, you agree to abide and be bound by these Terms, fostering a trusted and rewarding community experience for all. Thank you for choosing LisBon, where every ride is an opportunity!
